Terms of Service
Last updated: not yet published
This is a working draft of the terms intended to govern use of Corpshore Work, operated by Corpshore Solutions Corporation. It has not yet been reviewed by counsel, is not a final or binding agreement, and should not be relied on as legal advice by anyone, including Corpshore itself. Several fields below are marked as placeholders because the information they need (registered address, incorporation details, governing law) has not been finalised.
1. Definitions
"Platform" means the Corpshore Work website, applications and related services. "Candidate" means an individual using the platform to find work. "Business" or "Employer" means an organisation using the platform to hire, source or engage workers. "Engagement" means any work arrangement facilitated through the platform, whichever structure applies to it. "Content" means any information, document or material submitted to the platform by a Candidate or Business.
2. The platform
Corpshore Work connects candidates with businesses hiring across 170+ countries, for full-time, part-time, contract and project work. Depending on the engagement, Corpshore acts in one of several roles:
- Direct hire referral, where Corpshore introduces a candidate to a business and the business employs them directly, outside Corpshore's payroll.
- Employer of record (EOR), where Corpshore (through its own entity or a vetted partner entity) is the legal employer on paper, while the worker's actual day-to-day work is directed by the business.
- Contractor of record (COR), where Corpshore engages the worker as an independent contractor and bills the business, handling compliance and payment.
- AI agent engagement, where a business engages an AI agent made available through the platform rather than, or alongside, a human worker.
The specific rights and obligations for a given engagement are set out in the engagement agreement for that arrangement. These Terms govern platform use generally; they do not replace an engagement agreement where one exists.
3. Accounts and eligibility
You must be old enough to form a binding contract in your jurisdiction to create an account. You're responsible for keeping your login credentials confidential and for all activity under your account. You must give accurate, current information when you register and keep it up to date. Corpshore can suspend or close an account it reasonably believes was created with false information.
4. Identity verification
Candidates must complete identity verification before applying to roles. Verification may include a government-issued document, a liveness check, and screening against sanctions and watch lists. Verification completed once is reused across applications rather than repeated for each one. Businesses undergo their own verification (know- your-business, or KYB) before publishing roles or engaging workers.
5. Fees
Candidates pay a 0% platform fee, permanently. This is a core commitment, not a promotional rate, and it does not change based on tier, region or engagement type. Corpshore charges the hiring business, not the worker, for the services below:
- Contractor of record: $39/worker/month.
- Employer of record, through a Corpshore entity: $399/employee/month.
- Employer of record, routed through a partner entity: that partner's cost plus a $99/employee/month surcharge.
- AI agent engagement: $199/agent/month.
- Hybrid pods (mixed human and AI-agent teams) are quoted individually.
On top of per-engagement fees, businesses subscribe to a platform tier. The Free tier is $0/month with 1 active posting and a 12% placement fee; paid tiers (Growth and Scale) add more active postings, seats and lower placement fees, billed monthly or annually. Every fee that applies to a given action is shown before that action is confirmed, not disclosed afterward.
6. Conversion and buyout
A business that converts a contractor-of-record engagement into a direct hire owes a buyout fee on a sliding scale: 20% of the engagement's value if converted within the first 12 months, 10% between 12 and 24 months, and 0% after that. This exists so Corpshore's sourcing and compliance work is compensated without locking a business into the platform indefinitely.
7. Payments
Where Corpshore handles payroll or contractor payouts, payment terms and schedules are set out in the relevant engagement agreement. Standard contractor payouts run weekly, on Fridays, through whichever payment rail is available and appropriate for the worker's country.
8. Acceptable use
You agree not to, and not to attempt to:
- Misrepresent your identity, qualifications, work authorisation or eligibility to work.
- Circumvent identity verification, compliance checks, or the platform's matching and screening systems.
- Contact another user off-platform to avoid fees that would otherwise apply, during the period that restriction is in effect under your engagement agreement.
- Upload content that is unlawful, infringing, fraudulent or that violates a third party's rights.
- Interfere with the platform's operation, probe its security, or access data you are not authorised to access.
- Use the platform to discriminate unlawfully against a candidate or to screen for a protected characteristic.
Breach of this section may result in warning, suspension or termination of your account, and, where the conduct is unlawful, referral to the relevant authorities.
9. Intellectual property
The platform, including its software, design, matching and screening systems, and Corpshore's trademarks, is owned by Corpshore or its licensors. Using the platform doesn't give you ownership of any of it. You keep ownership of the content you submit (your profile, application materials, job postings), and you grant Corpshore a licence to use it to operate the platform, including to display it to other users as the platform's function requires (for example, showing your profile to a business you apply to).
10. AI-assisted decisions
Matching, screening and job-description drafting are AI-assisted. No automated process results in a final rejection without the option of human review, and that review option is available to every affected candidate. Decisions that affect your account status (suspension, termination) are not made by an automated system alone.
11. Term, suspension and termination
These Terms apply for as long as you maintain an account. You can close your account at any time; this doesn't end an engagement agreement already in force, which is governed by its own terms. Corpshore can suspend or terminate an account for breach of these Terms, for conduct that creates legal or safety risk, or where required by law, with notice where reasonably possible.
12. Disclaimers
Corpshore provides the platform and associated compliance services on an "as is" and "as available" basis. Corpshore does not guarantee that any candidate will be hired, that any role will be filled, or that the platform will be uninterrupted or error-free. Final disclaimer language will be set once this document receives legal review.
13. Limitation of liability
To the fullest extent permitted by law, Corpshore's liability arising from use of the platform will be limited as set out in the final, reviewed version of these Terms. This draft does not yet state a liability cap, an exclusion of indirect or consequential damages, or the specific carve-outs (such as for gross negligence or wilful misconduct) a final version would normally include.
14. Indemnification
You agree to indemnify Corpshore against claims arising from your breach of these Terms, your misuse of the platform, or content you submit that infringes a third party's rights, as the final version of this section will specify in more detail.
15. Changes to these terms
Corpshore may update these Terms as the platform evolves. Material changes will be notified through the platform or by email before they take effect. Continued use of the platform after a change takes effect means you accept the updated Terms.
16. Governing law and disputes
[Governing law and jurisdiction, to add.] Disputes arising under these Terms will be resolved through the mechanism set out in the final, reviewed version of this document (for example, negotiation, mediation, or a named arbitration or court venue). No such mechanism is finalised yet.
17. Severability and entire agreement
If a provision of these Terms is found unenforceable, the rest remains in effect. These Terms, together with any engagement agreement that applies to a specific arrangement, make up the entire agreement between you and Corpshore on the subjects they cover.
